Terms of Service

The following policy is provided for information only and does not constitute legal advice. Please obtain review from qualified legal counsel before publishing.

1. Who we are

“The Curry Club” (“Company”, “we”, “us”, “our”) provides foodservice products and related services. These Terms apply to our websites, content, and any ordering or pilot programmes (collectively, the “Services”).

2. Acceptance

By accessing or using the Services, you agree to these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

3. Eligibility & Business Use

The Services are intended for business users only (B2B). You confirm you are acting in the course of business and not as a consumer.

4. Accounts & Security

You are responsible for all activity under your account and for keeping credentials secure. Notify us immediately of unauthorised use.

5. Orders; Pricing; Payment

Orders are subject to acceptance, availability, and written confirmation. Prices exclude taxes unless stated. We may correct errors and cancel any unconfirmed order. Title to goods passes on full payment; risk passes on delivery (Incoterms as agreed). Late amounts may accrue interest at the statutory rate.

6. Delivery; Shipping; Shortages

Estimated delivery dates are non‑binding. Risk of loss passes on delivery. You must inspect goods promptly and notify us in writing of shortages or damage within 48 hours and non‑conformity within 7 days; otherwise goods are deemed accepted.

7. Product Handling & Food Safety

You must store, handle, and prepare products strictly per our written instructions, shelf‑life, and HACCP/food‑safety requirements. We are not responsible for issues arising from improper storage, misuse, modification, or failure to follow instructions.

8. Trials; Demos; Recommendations

Operational guidance, yield estimates, menus, and costings are illustrative and provided “as is”. You are solely responsible for kitchen compliance, allergen handling, and regulatory approvals for your venue(s).

9. Intellectual Property

All IP in our websites, brands, packaging, recipes, documentation, and media remains ours or our licensors’. No rights are granted except as expressly set out.

10. Permitted Use; Prohibitions

You must not (a) reverse engineer or copy our software, recipes, or packaging, (b) resell products outside agreed channels, (c) misuse the Services, (d) submit unlawful, infringing, or misleading content.

11. Confidentiality

Non‑public information we disclose (including pricing, specifications, pilots) is Confidential Information. You must protect it with reasonable measures and use it only to evaluate or perform under an order or pilot.

12. Warranties

To the extent permitted by law, products are supplied “as is” subject to their published specifications. We warrant only that products will materially conform to those specifications at dispatch. We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.

13. Remedies

Your exclusive remedy for defective product is, at our option, replacement or refund of the price paid for the affected units, provided you notify us within the time limits above and return/retain samples as requested.

14. Limitation of Liability

To the maximum extent permitted by law, we are not liable for (a) indirect, incidental, special, exemplary, punitive, or consequential damages, (b) loss of profits, revenue, goodwill, or data, (c) business interruption or production loss, even if advised of the possibility. Our aggregate liability arising out of or relating to the Services shall not exceed the amount you paid to us for the products/services giving rise to the claim in the 12 months preceding the event.

15. Indemnity

You will indemnify and hold us harmless from claims arising from (a) your misuse of products or Services, (b) your breach of these Terms, (c) content you provide, or (d) failure to comply with laws, including food‑safety and allergen regulations at your venue(s).

16. Compliance; Sanctions; Anti‑Bribery

You will comply with applicable laws (including food safety, export controls, sanctions, anti‑bribery, modern slavery, and data protection). You warrant you are not a sanctioned person or located in a sanctioned territory.

17. Data Protection

Our Privacy Policy forms part of these Terms. For any personal data you provide to us, you are the controller and we are a processor only where expressly agreed in writing via a Data Processing Addendum.

18. Term; Suspension; Termination

We may suspend or terminate access for breach or risk to the Services. Clauses intended to survive remain in effect.

19. Dispute Resolution

These Terms and any non‑contractual obligations are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.

20. Changes

We may update these Terms by posting a new version with a new “Last updated” date. Continued use constitutes acceptance.
