Quotations

Valid for 30 days unless stated; subject to change for errors or omissions.

Orders

Binding only upon our written confirmation. Minimum order quantities may apply.

Prices & Taxes

Ex‑VAT unless stated. You are responsible for all taxes, duties, customs, and fees.

Payment

Due per invoice terms. We may withhold shipment for unpaid balances. Late payments accrue statutory interest; you pay all reasonable collection costs.

Delivery

Target dates are estimates only. Risk passes on delivery per agreed Incoterms.

Inspection; Acceptance

Shortages/damages within 48 hours; non‑conformity within 7 days.

Storage & Use

Store and use products per our instructions; we are not responsible for misuse or improper storage.

Return & Refund

Returns require our RMA; items must be unopened and within shelf life unless otherwise agreed.

Force Majeure

We are not liable for delays or failure caused by events beyond reasonable control.

IP & Confidentiality

No rights are granted; all IP remains ours or licensors’. Pricing/specs are confidential.

Warranties

Products conform to published specifications at dispatch; all other warranties are disclaimed to the extent permitted by law.

Liability

No indirect or consequential damages; liability capped at amounts paid in the preceding 12 months for the affected goods.

Compliance

You warrant compliance with applicable laws (food safety, sanctions, anti‑bribery, modern slavery, data protection).

Governing Law & Venue

England & Wales; exclusive courts of England & Wales.

Entire Agreement

These T&Cs, the confirmed order, and any agreed addenda form the entire agreement and supersede prior discussions.
